BEST IN TOWN HUB (BIT HUB) TERMS OF USE

These Terms of Use (the “Terms”) govern your access to and use of https://bestintown.toyota.com/ (the “Site”). The Site is operated by Toyota Motor Corporation (“TMC”). All information, text, data, photographs, videos, designs, graphics, and other materials on the Site (collectively, “Materials”) are owned by or licensed to TMC.
Please read the Terms carefully. Do not access or use this Site and its Materials if you do not agree to these Terms in their entirety.
This Site is intended solely:
(a) for access and use by authorized personnel of TMC, its subsidiary original equipment manufacturers (“OEMs”), and approved global distributors (collectively, “Authorized Users”) who have been granted access credentials by TMC or its designee;
(b) to allow Authorized Users to submit new developments and news (“Submissions”) to BIT International for review and publication, and to provide Authorized Users with access to published articles, product news, events, and related Materials for internal, authorized business purposes (collectively, the “Permitted Use”); and
(c) for internal reference, knowledge sharing, and collaboration among Authorized Users in furtherance of TMC business objectives. For clarity, distribution of any Materials to unauthorized third parties, consumers, or competing brands is strictly prohibited and not a Permitted Use.
These Terms apply to all Authorized Users who access the Site, regardless of their level of participation. In these Terms, “you” and “your” refer to each Authorized User, and “we,” “us,” and “our” refer collectively to TMC.
These Terms explain our obligations to you, and your obligations to us in relation to the use of the Site and its Materials for a Permitted Use and constitute a legal agreement (“Agreement”). By accessing and using any of the Site and its Materials, you accept and agree to be bound by these Terms and our Privacy Notice (incorporated by reference in Section 10 below).
We may revise these Terms at any time. For material changes, TMC will use reasonable efforts to provide notice by updating the “Last Updated Date” above. Your continued use of the Site following any posted revision constitutes acceptance of those changes.
We may at any time modify, suspend, or discontinue the Site or any Materials, temporarily or permanently, with or without notice. TMC shall not be liable for any such modification, suspension, or discontinuance. TMC may terminate these Terms or your access at any time, with or without cause; upon termination, you must immediately cease all use of the Site.
NOTE THAT THE TERMS OF THIS AGREEMENT ONLY APPLY TO THE USE OF THIS SITE AND ITS MATERIALS. OTHER WEBSITES PROVIDED BY TMC OR ITS AFFILIATES HAVE DIFFERENT TERMS THAT APPLY TO THE USE OF THOSE SITES.
1. DESCRIPTION OF THE SITE.
This Site is the Best In Town Hub (BIT Hub) platform, an internal website that enables TMC, its subsidiary OEMs, and authorized distributors globally to submit new developments and news to BIT International for consideration. BIT International is the sole entity responsible for reviewing, writing, and publishing articles on the Site; users may not post content directly.
2. ACCESS CREDENTIALS AND ELIGIBILITY.
Site access is restricted to Authorized Users with valid credentials. Unauthorized use, including unauthorized entry, password misuse, or information misuse, is strictly prohibited.
(a) Eligibility. Credentials will only be granted if you: (i) are authorized personnel of TMC, a subsidiary OEM, or an approved global distributor; (ii) have been nominated by your employing entity; and (iii) have agreed to these Terms. If you are no longer eligible (e.g., due to termination of employment or affiliation), your access will be revoked. TMC may deny or revoke access at any time for any reason.
(b) Representations Upon Access. Each time you log in, you represent that: (i) you are an Authorized User; (ii) you are the person assigned to the credentials being used; and (iii) you agree to be bound by these Terms.
(c) Account Security. You must maintain the confidentiality of your credentials and notify TMC immediately at bestintown@toyota.com if you believe your credentials have been compromised or your account has been accessed without authorization. You may not share your credentials. You are responsible for all activities conducted through your account, and TMC is not liable for any loss resulting from unauthorized use of your credentials.
3. CONFIDENTIALITY OBLIGATION — MULTI-BRAND DISTRIBUTORS.
THIS SECTION APPLIES TO ALL AUTHORIZED USERS WHO ARE PERSONNEL OF DISTRIBUTORS THAT ALSO DISTRIBUTE VEHICLES OR PRODUCTS OF BRANDS OTHER THAN TOYOTA, LEXUS, OR ANY OTHER TMC-AFFILIATED BRAND (“MULTI-BRAND DISTRIBUTORS”).
(a) If you are personnel of a Multi-Brand Distributor, you acknowledge and agree that all information, Materials, and Confidential Information (as defined in Section 5 below) accessed through the Site is strictly confidential to TMC and its affiliated brands. You shall not, directly or indirectly, share, disclose, transmit, or use any such information in connection with any non-TMC brand, any competing manufacturer or distributor, or any operations, business activities, or personnel associated with such non-TMC brands. Without limitation, this includes: (i) disclosing Materials to any personnel, agents, or representatives engaged in activities for non-TMC brands; (ii) using Materials to benefit the commercial performance of any non-TMC brand; and (iii) incorporating any Materials or Confidential Information into reports, presentations, or communications prepared for or in connection with non-TMC brand operations. Access credentials will not be granted to any personnel of a Multi-Brand Distributor until such individual has affirmatively acknowledged and agreed to the obligations set forth in this Section 3. TMC may require a separate written acknowledgment as a condition of access.
(b) Breach of this Section 3 shall constitute a material breach of these Terms and shall result in immediate revocation of access credentials, without prejudice to any other remedies available to TMC under these Terms or applicable law.
4. OWNERSHIP, INTELLECTUAL PROPERTY, LICENSE, AND USE OF THE SITE AND ITS MATERIALS.
TMC, its parent, subsidiaries, affiliates, and licensors own all intellectual property rights in and to the Site and its Materials (“TMC Intellectual Property Rights”), including all trademarks, service marks, logos, and trade names (“Trademarks”). You may not claim any interest in or ownership of any TMC Intellectual Property Rights.
Subject to your compliance with these Terms, TMC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Materials for the Permitted Use. You may view and download Materials for a Permitted Use but acquire no ownership rights. This license terminates if you breach these Terms, and TMC may suspend or terminate it at any time in its sole discretion.
All published content on the Site remains the property of TMC or the applicable submitting entity, subject to the license granted to TMC under Section 6 below. We reserve all rights not expressly granted to you in these Terms.
5. CONFIDENTIAL NATURE OF MATERIALS.
You will be exposed to, and may assist in creating, Confidential Information through your participation in the Site. All Confidential Information is owned by TMC (or, for Submissions, the submitting entity, subject to the license granted to TMC). You may not use or disclose Confidential Information except as required for a Permitted Use, and you must protect it using no less than reasonable care.
(a) “Confidential Information” includes all Materials on the Site unless such Materials: (i) were in your possession prior to your access to them on the Site without restriction on use or disclosure; (ii) are or become available to the general public through no act or fault of yours; or (iii) are rightfully disclosed to you by a third party outside the Site without restriction on use or disclosure.
(b) Authorized Users must abide by all policies of their employer regarding the use and disclosure of confidential information. Any posting or submission of confidential information to the Site must be approved in accordance with the Authorized User’s company policies.
(c) Upon termination of your access for any reason, you must promptly delete or destroy all Confidential Information in your possession, unless TMC provides written authorization to retain it. TMC may require written certification of destruction.
6. SUBMISSION OF CONTENT.
(a) Submission Process. Authorized Users may submit news, developments, and related materials (“Submissions”) to BIT International for potential publication. All Submissions are subject to editorial review, and TMC may publish, edit, or decline any Submission in its sole discretion without notice.
(b) Submitter Responsibilities and Warranties. You are solely responsible for your Submissions. You represent and warrant that you have all necessary rights to submit the content and that it does not infringe third-party intellectual property rights, cause injury to any person or entity, or violate applicable laws or your employer’s policies.
(c) License to TMC. By submitting content, you grant TMC and its designees a worldwide, perpetual, royalty-free, sublicensable license to use, reproduce, modify, publish, and distribute the Submission in any media for purposes related to the Site and TMC’s business, without compensation. The submitting entity retains ownership of its underlying intellectual property, subject to this license. To the extent permitted by applicable law, you waive any moral rights in your Submissions; where moral rights cannot be waived, you agree not to assert them against TMC’s exercise of the license granted herein.
(d) Disclaimer. Although BIT International reviews Materials prior to publication, such review does not constitute endorsement or verification. TMC does not guarantee the accuracy, quality, or completeness of any Submission or published content and is not liable for any loss or damage resulting from reliance thereon. Submitting entities remain solely responsible for their Submissions.
(e) Editorial Control. TMC reserves the right, in its sole discretion, to: (i) review, edit, or decline any Submission; (ii) alter or remove published Materials at any time; and (iii) disclose Submissions and related circumstances to third parties as necessary to operate the Site, protect TMC and its partners, or comply with legal obligations.
7. USER OBLIGATIONS AND RESTRICTIONS.
As a condition of your license to access the Site, you agree to the following:
(a) Use the Site and Materials only for the Permitted Use. You may not reproduce, redistribute, copy, or disclose any Materials to any unauthorized party, resell or commercially exploit any element of the Site or its Materials, or post Materials to any other website or platform without TMC’s prior written consent;
(b) You may not portray the Site and its Materials in a manner that casts TMC, its subsidiaries, affiliates, distributors, or their respective products or services in a disparaging or derogatory manner, unless such use depicts a factually accurate statement without material omissions;
(c) Do not misuse the Site or take any action that could interfere with, damage, or impair its operation or any underlying server or network, circumvent, reverse-engineer, decrypt, or otherwise interfere with the Site or Materials, create derivative works thereof, or use any data mining, robots, spiders, or similar automated tools to access the Site;
(d) Do not upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, invasive of privacy, hateful, discriminatory, or otherwise objectionable, or that contains personal data of third parties without their consent;
(e) You must comply with all applicable local, national, and international laws, regulations, and TMC policies in your use of the Site;
(f) You must notify TMC immediately at bestintown@toyota.com if you suspect illegal, fraudulent, or abusive activity or any activity in violation of these Terms; and
(g) You must immediately report to TMC at Office.of.Privacy@Toyota.com any actual or suspected data breach, unauthorized access to personal data, or security incident affecting the Site or any Materials containing personal information.
8. ENFORCEMENT AND TERMINATION.
(a) TMC may terminate your access credentials and use of the Site at any time, for any reason (including lack of use or suspected violation of these Terms), with or without notice. TMC may also discontinue the Site at any time.
(b) Without limiting the foregoing, breach of these Terms—including breach of the Multi-Brand Distributor obligations (Section 3), confidentiality obligations (Section 5), or user restrictions (Section 7)—may result in: (i) immediate revocation of access without notice; (ii) termination of this Agreement; (iii) notification to your employer; (iv) reporting to relevant regulatory authorities where required by law; and (v) pursuit of all available legal remedies, including injunctive relief and damages.
(c) TMC shall not be liable to you or any third party for any termination of your access to the Site.
(d) The following provisions shall survive termination of these Terms: Sections 3 (Multi-Brand Distributors), 4 (Intellectual Property), 5 (Confidentiality), 9 (Disclaimer and Limitation of Liability), and 11 (Governing Law).Sections 10 (Privacy) and 12 (Indemnification) shall also survive termination to the extent necessary to give effect to their purposes.
9. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY.
(a) You understand and agree that your use of the Site and its Materials is at your own risk and that you will be solely responsible for any damage to your device or any other equipment or loss of data that may result from your use of the Site and its Materials.
(b) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND THE MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESSED, IMPLIED, OR STATUTORY. TMC SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
(c) YOU AGREE THAT TMC SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH YOUR USE OF THE SITE, ANY BREACH OF THIS AGREEMENT, OR ANY MATERIALS ON THE SITE, REGARDLESS OF WHETHER DAMAGES WERE FORESEEABLE OR WHETHER TMC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. TO THE EXTENT THAT ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES, THE ABOVE EXCLUSIONS AND LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
(d) WITHOUT LIMITING THE FOREGOING, TMC DOES NOT GUARANTEE THE ACCURACY, INTEGRITY, RELEVANCE, OR COMPLETENESS OF ANY MATERIALS ON THE SITE. THE MATERIALS ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND INDEPENDENTLY VERIFYING ANY MATERIALS BEFORE RELYING ON THEM, AND FOR THE USE OR APPLICATION OF ANY MATERIALS TO YOUR BUSINESS. UNDER NO CIRCUMSTANCES SHALL TMC BE RESPONSIBLE OR LIABLE FOR ANY NEGATIVE BUSINESS RESULT, LOSS, OR DAMAGE ARISING FROM YOUR RELIANCE ON ANY MATERIALS OBTAINED THROUGH THE SITE.
10. PRIVACY.
Your access to and use of the Site is subject to TMC’s Privacy Notice, which is incorporated herein by reference. By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by the Privacy Notice. The Privacy Notice describes the categories of personal data collected, the purposes and legal bases for processing, data retention practices, cross-border data transfer mechanisms, and your rights as a data subject under applicable data protection laws. The Privacy Notice is available as a separate document and may be updated from time to time. You are responsible for reviewing the Privacy Notice periodically for any changes.
In the event of a data breach affecting personal data processed in connection with the Site, TMC will notify affected Authorized Users and relevant supervisory authorities in accordance with applicable data protection laws.
11. GOVERNING LAW AND JURISDICTION.
(a) These Terms and any disputes arising hereunder will be governed by the laws of the jurisdiction in which the Authorized User is located, without reference to conflict of law principles. Notwithstanding the foregoing, TMC’s intellectual property rights shall be governed by the laws of the jurisdiction where protection is sought, and mandatory consumer protection or data protection laws of your jurisdiction shall apply to the extent required. Any cross-border transfer of personal data in connection with the Site shall be conducted in accordance with applicable data transfer mechanisms under the laws of the relevant jurisdictions.
(b) Any dispute arising out of or in connection with these Terms that cannot be resolved amicably shall be submitted to the competent courts of the jurisdiction in which the Authorized User is located.
12. INDEMNIFICATION.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TMC, its parent, affiliates, and subsidiaries, together with their respective employees, agents, directors, officers, and shareholders from and against all liabilities, claims, damages, and expenses (including reasonable attorneys’ fees and costs) arising out of your use of the Site and its Materials, your Submissions, and your breach or alleged breach of any of these Terms.
13. THIRD PARTY LINKS.
The Site may contain links to third-party websites that TMC does not own, operate, or control. All such links are provided solely as a convenience to you. TMC is not responsible for and does not warrant any content, materials, products, or other information on third-party websites.
14. COMPETITION AND ANTITRUST.
The Site must not be used to discuss or exchange competitively sensitive information—including pricing, market allocation, output limitations, bid strategies, or customer/supplier terms—that could not otherwise be properly discussed or exchanged in other settings due to antitrust laws, competition laws, or other related or similar laws. Authorized Users must not use the Site to coordinate commercial behavior with competitors. If you have any question about whether any aspect of your participation in the Site is lawful, you should consult your own legal counsel before you proceed.
15. ARTIFICIAL INTELLIGENCE
TMC may make available on the Site one or more artificial intelligence-powered tools, including an AI chatbot (collectively, “AI Tools”). AI Tools are designed to provide Authorized Users with summaries, insights, and information derived from articles and Materials published on the Site. AI Tools are provided solely as a convenience and for informational purposes. You acknowledge that: (a) AI Tool outputs are generated by automated processes and may not be accurate, complete, or current. TMC does not guarantee the accuracy, integrity, or relevance of any AI-generated output, and you are solely responsible for independently verifying any information before relying on it for business decisions; (b) TMC shall not be responsible or liable for any negative business result, loss, or damage arising from your use of or reliance on any AI Tool output; (c) AI Tools do not constitute professional advice and are not a substitute for independent professional judgment. You should not rely on AI Tool outputs as the sole basis for any business, legal, financial, or operational decision; (d) AI Tools are subject to all confidentiality obligations, intellectual property restrictions, and use limitations set forth in these Terms. You may not input into any AI Tool any information that is not already available on the Site, and you may not share AI Tool outputs with unauthorized third parties; and (e) TMC may modify, suspend, or discontinue any AI Tool at any time without notice. The general disclaimer of warranties and limitation of liability set forth in Section 9 above apply fully to AI Tools and their outputs.
16. MISCELLANEOUS.
(a) Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
(b) Entire Agreement. These Terms constitute the entire, complete, and exclusive agreement between you and TMC regarding the Site and its Materials and supersede all prior agreements and understandings with respect to the subject matter of these Terms.
(c) Waiver. No failure or delay by TMC in exercising any right under these Terms shall constitute a waiver of such right. All remedies available to TMC under these Terms are cumulative and not exclusive of any other remedies provided by law.
(d) Assignment. This Agreement is not assignable, transferable, or sublicensable by you without TMC’s prior written consent.
(e) Export and International Laws. Recognizing the global nature of the Internet, you agree to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.
